Welcome to Unew, an online multi-vendor marketplace owned and operated by Clean Bins Drive Private Limited ("Unew", "Company", "we", "our", or "us").
These Terms and Conditions ("Terms") govern your access to and use of the Unew website, mobile application, and all associated products, services, software, content, tools, and features (collectively referred to as the "Platform").
By accessing, browsing, registering on, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Seller Terms, Buyer Protection Policy, Return & Refund Policy, Shipping Policy, and all other policies published by Unew, each of which forms an integral part of these Terms.
If you do not agree with any provision of these Terms, you must immediately discontinue use of the Platform.
Unless the context otherwise requires, the following terms shall have the meanings assigned below.
Account means a registered user profile created on the Platform.
Buyer means any person who purchases or attempts to purchase Products through the Platform.
Seller means an individual, business, or legal entity listing Products for sale on the Platform.
Product means any item listed for sale on the Platform.
Listing means any Product advertisement created by a Seller.
Order means a purchase request submitted by a Buyer.
Buyer Protection means Unew's dispute resolution and customer protection program applicable to eligible purchases.
User means any visitor, Buyer, Seller, or other person accessing the Platform.
Platform includes the website, mobile applications, APIs, software, and all related services offered by Unew.
Unew is an online marketplace that connects independent Buyers and registered business Sellers.
Unew provides technology services that enable Sellers to list Products and Buyers to purchase Products.
Unless specifically stated otherwise:
The contract for sale exists solely between the Buyer and the Seller.
Unew's role is limited to facilitating the transaction and providing services such as payments, buyer protection, dispute resolution, communication tools, logistics integrations, and other marketplace services.
By creating an account or using any part of the Platform, you confirm that:
You may use the Platform only if:
Businesses registering on Unew represent that they possess all registrations, licenses, approvals, and permissions necessary to conduct their business.
Unew reserves the right to request documentary proof of identity, age, address, business registration, or authority at any time.
To access certain features, Users must create an Account.

You agree that all information submitted shall remain accurate and updated.
Providing false, misleading, incomplete, or fraudulent information may result in immediate suspension or termination of your Account.

Unew is a technology platform facilitating transactions between independent Buyers and Sellers.
Except where expressly stated:
Each Seller is solely responsible for the Products they list and sell.
Every Seller agrees that they shall:
Sellers remain solely liable for claims relating to ownership, authenticity, infringement, defects, taxes, warranties, or legality of Products.
Buyers agree to:
Buyers shall not abuse Buyer Protection or attempt to obtain refunds through false claims.
Sellers are solely responsible for every Listing they create.
Listings must:
Unew reserves the right to edit, reject, suspend, remove, or permanently delete any Listing that violates these Terms.
Sellers must accurately classify Products using Unew's approved grading system.
Typical condition categories may include:
Misclassification of Product condition constitutes a violation of these Terms and may result in account action.
Sellers determine the prices of their Products.
Prices displayed on the Platform may include:
Unew reserves the right to correct obvious pricing errors or remove erroneous Listings.
Product availability depends entirely upon Seller inventory.
If a Product becomes unavailable after an Order is placed, Unew or the Seller may cancel the Order and issue an appropriate refund in accordance with applicable policies.
Unew may require Sellers to complete Know Your Customer (KYC) verification before listing Products, receiving payouts, or accessing certain Platform features.
Verification requirements may include:
Failure to complete verification may restrict access to Seller services.
Unew may charge Sellers:
Applicable fees shall be published separately and may be revised from time to time.
By registering on the Platform, you consent to receiving communications through:
These communications may relate to Orders, security alerts, promotional offers, policy updates, account verification, and customer support.
Users may opt out of promotional communications where permitted by law, but transactional communications necessary for the operation of the Platform cannot be disabled.
You agree that all electronic communications, agreements, notices, invoices, and records satisfy any legal requirement that such communications be in writing.
Electronic acceptance shall have the same legal effect as a physical signature.
Unew reserves the right to amend these Terms at any time.
Updated Terms become effective immediately upon publication unless otherwise specified.
Your continued use of the Platform after such publication constitutes acceptance of the revised Terms.
If you disagree with any amendment, your sole remedy is to discontinue use of the Platform.
An Order placed through the Platform constitutes an offer by the Buyer to purchase the Product from the Seller.
An Order shall be deemed accepted only when:

Cancellation of an Order shall not create any liability against Unew beyond any refund required under applicable policies.
All payments made through the Platform shall be processed through payment service providers approved by Unew.
Unew does not store complete debit card, credit card, UPI PIN, or internet banking credentials.

Payment processing remains subject to verification by financial institutions and payment partners.
A payment shall not be considered successfully completed until confirmed by the payment gateway.
To promote transaction security and Buyer Protection, Unew may hold payments received from Buyers until certain transaction milestones have been completed.
Seller payouts may be released after:
Unew reserves the right to delay or withhold payouts where fraud, policy violations, suspicious activity, or ongoing disputes are reasonably suspected.
Sellers are solely responsible for:
Where legally required, Unew may deduct, collect, or remit taxes in accordance with applicable Indian laws.

Unew does not guarantee delivery within any specific timeframe unless expressly stated.
Sellers must package all Products appropriately to minimize the risk of damage during transit.
Packaging shall be suitable for:
Where required by Platform policy, Sellers may be instructed to record the packaging process, including the Product, accessories, serial numbers (where applicable), sealing of the package, and courier handover.
Failure to comply with packaging requirements may affect eligibility under Seller Protection policies.
Delivery shall be deemed complete when the Product is delivered to the delivery address provided by the Buyer.
Buyers are responsible for ensuring:
Repeated failed delivery attempts may result in cancellation of the Order or return of the shipment.
Additional shipping charges may apply where re-delivery is required.
Buyers are encouraged to inspect Products immediately upon delivery.

The Platform may provide messaging tools for transaction-related communication.
Users agree that they shall not use these tools to:

Buyers and Sellers shall not intentionally circumvent the Platform by completing transactions outside Unew after establishing contact through the Platform.

Discounts, coupons, referral benefits, cashback, promotional credits, and loyalty rewards may be offered from time to time.

Unew reserves the right to recover promotional benefits obtained through abuse or policy violations.
All rights, title, and interest in the Platform, including but not limited to its software, source code, databases, user interface, designs, graphics, logos, trademarks, service marks, text, icons, photographs (excluding user-uploaded content), videos, audio, documentation, algorithms, business methods, and other content are owned by or licensed to Clean Bins Drive Private Limited.
Except as expressly permitted under these Terms, no User may:
any part of the Platform without Unew's prior written consent.
Nothing contained in these Terms transfers ownership of any intellectual property rights to any User.
Users may upload photographs, videos, descriptions, reviews, ratings, comments, profile information, and other content ("User Content").
By submitting User Content, you represent and warrant that:
You grant Unew a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, sublicensable licence to use, reproduce, modify, translate, adapt, publish, display, distribute, and otherwise use such User Content for operating, improving, marketing, and promoting the Platform.
Unew is under no obligation to publish or retain any User Content.
Unew maintains a zero-tolerance policy towards counterfeit, stolen, pirated, illegally imported, or otherwise unlawful Products.
Where Unew reasonably believes that a Product:
Unew may immediately remove the Listing, suspend the Seller's Account, withhold payouts, cancel Orders, cooperate with law enforcement authorities, or take any other action it considers appropriate.
Repeated violations may result in permanent removal from the Platform.
Users shall not:
Any violation may result in immediate enforcement action without prior notice.
To protect the integrity of the Platform, Unew may, to the extent permitted by applicable law:

Unew may suspend, restrict, or permanently terminate any Account where a User:
Termination of an Account does not extinguish any rights, obligations, liabilities, or claims that arose prior to termination.
The Platform may integrate or link to third-party services including payment gateways, logistics providers, identity verification providers, analytics services, advertising partners, and other external services.
Unew does not control these third-party services and is not responsible for their:
Your use of such services is governed by the respective third party's terms and policies.
Your use of the Platform is also governed by Unew's Privacy Policy.
By using the Platform, you consent to the collection, storage, processing, and sharing of your information as described in the Privacy Policy and as permitted by applicable law.

Where liability cannot be excluded under applicable law, Unew's aggregate liability in relation to any claim shall not exceed the total amount paid by the claimant to Unew in connection with the specific transaction giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
You agree to indemnify, defend, and hold harmless Clean Bins Drive Private Limited, its directors, officers, employees, affiliates, agents, and representatives from and against any claims, demands, proceedings, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
Unew shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to:
Performance shall resume as soon as reasonably practicable after the event ceases.
These Terms shall be governed by and construed in accordance with the laws of India.
Before initiating legal proceedings, Users agree to make reasonable efforts to resolve disputes by contacting Unew through the designated grievance or customer support channels.
If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the competent courts at New Delhi, India, unless applicable law requires otherwise.
Nothing in this clause restricts any statutory rights available to consumers under applicable law.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Failure by Unew to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights available to Unew.
Any waiver shall be effective only if made in writing by an authorised representative of Unew.
Users may not assign or transfer their rights or obligations under these Terms without Unew's prior written consent.
Unew may assign or transfer its rights and obligations to any affiliate, successor, or purchaser of its business, subject to applicable law.
These Terms, together with all policies expressly incorporated by reference, constitute the entire agreement between the User and Unew regarding use of the Platform and supersede all prior understandings, communications, or agreements relating to the same subject matter.
Unew reserves the right to modify, suspend, discontinue, or replace any feature, service, functionality, or part of the Platform at any time without prior notice, subject to applicable law.
