These Seller Terms & Conditions ("Seller Terms") govern the relationship between Clean Bins Drive Private Limited, operating the marketplace under the brand Unew ("Unew", "Company", "we", "our", or "us"), and every individual or business that registers as a Seller on the Unew Platform.
These Seller Terms form a legally binding agreement between Unew and every Seller using the Platform.
By registering as a Seller, creating a Seller Account, listing Products, accepting Orders, or otherwise using Seller Services, you agree to comply with these Seller Terms, the Unew Terms & Conditions, Privacy Policy, Buyer Protection Policy, Return, Refund & Cancellation Policy, Shipping & Delivery Policy, Prohibited Products Policy, Community Guidelines, and all other policies published by Unew from time to time.
If there is any conflict between these Seller Terms and any mandatory provision of applicable law, the applicable law shall prevail to the extent of such conflict.

These Seller Terms apply regardless of whether the Seller is an individual, sole proprietor, partnership, company, LLP, trust, or any other legal entity.
Unless the context otherwise requires:
Buyer means a registered User purchasing Products through the Platform.
Seller means any legal entity authorised to sell Products on Unew.
Listing means a Product advertisement published on the Platform.
Order means a purchase request placed by a Buyer.
Marketplace Standards Manual means the operational standards, quality requirements, and seller performance expectations published by Unew and updated from time to time.
Buyer Protection means the customer protection programme administered by Unew for eligible transactions.
Capitalised terms not defined herein shall have the meanings assigned to them in the Unew Terms & Conditions.
To register as a Seller, you must:
Business entities represent that the person accepting these Seller Terms is duly authorised to bind the entity.
Unew reserves the right to reject, suspend, or terminate any Seller application at its sole discretion, subject to applicable law.
To access Seller Services, you must complete the registration process and provide such information as may reasonably be required by Unew, including:
You agree to keep all registration information accurate, complete, and up to date.
Failure to do so may result in restrictions on your Seller Account.
To protect Buyers and comply with applicable laws, Unew may require Sellers to complete identity verification.
Verification may include, where applicable:
Submission of verification documents does not guarantee approval.
Unew may request updated documents periodically or whenever reasonably necessary.
Knowingly submitting forged, altered, expired, or misleading documents constitutes a material breach of these Seller Terms.
You are responsible for:
You must not transfer, sell, lease, assign, or permit another person to operate your Seller Account without Unew's prior written approval.
Each approved Seller may operate one or more storefronts on the Platform, subject to Unew's policies.
Your storefront name, branding, profile image, banners, descriptions, and other content must:
Unew reserves the right to require changes to storefront content or to remove content that violates these Seller Terms.
Every Listing published by a Seller must:
Listings must not contain false, exaggerated, deceptive, or misleading statements.
Unew may remove or suspend Listings that fail to meet these requirements.
Photographs play a critical role in maintaining Buyer trust.
Sellers should ensure that Product images:
Stock images may only be used where expressly permitted by Unew.
Unew may reject or remove Listings that do not meet image quality standards.
Sellers shall classify Products honestly using Unew's condition grading system.
Illustrative grading categories include:
Condition grading should consider, among other factors:
Misrepresentation of Product condition is a serious policy violation and may lead to enforcement action.
Sellers are responsible for maintaining accurate inventory records.
Products that are no longer available should be removed promptly.
Repeated cancellations due to unavailable inventory may negatively affect Seller performance metrics and may result in account restrictions.
Sellers are responsible for setting fair and accurate prices.
Prices displayed on the Platform should include all mandatory charges except where the checkout process separately discloses applicable taxes, shipping charges, or Platform fees.
Sellers shall not manipulate prices to circumvent Platform policies or mislead Buyers.
Unew reserves the right to suspend Listings containing obvious pricing errors or pricing practices that undermine marketplace integrity.
Each Seller represents and warrants that they will comply with all applicable laws, regulations, governmental orders, and industry standards relating to:
The Seller is solely responsible for obtaining and maintaining any licences, registrations, permits, or approvals required for its business operations.
Each Seller represents and warrants that:
These warranties continue for as long as the Seller uses the Platform and survive the completion of individual transactions where relevant.
Once a Buyer places an Order, the Seller shall promptly review and either accept or reject the Order through the Platform.
Upon accepting an Order, the Seller commits to fulfilling the Order in accordance with these Seller Terms and all applicable Unew policies.
Acceptance of an Order creates a contractual obligation on the Seller to supply the Product as described in the Listing, unless cancellation is permitted under these Seller Terms or applicable law.
After accepting an Order, the Seller shall:
Sellers shall not substitute a different Product, model, colour, specification, or condition without the Buyer's prior consent.
Unless otherwise approved by Unew, Sellers are expected to dispatch Orders within the dispatch timeline displayed on the Platform.
Repeated late dispatches may negatively affect Seller performance metrics and may result in reduced listing visibility, temporary selling restrictions, suspension, or other enforcement actions.
If a Seller is unable to dispatch an Order on time, the Seller should promptly notify Unew through the Platform.
Every Product must be packaged in a manner reasonably appropriate for its size, weight, value, and fragility.
Packaging materials should provide adequate protection against ordinary handling during transportation.
Where applicable, Sellers should use:
Improper packaging that contributes to damage during transit may affect the outcome of any dispute.
To support Unew's Buyer Protection programme and reduce fraudulent claims, Sellers shall record a continuous, unedited video of the packaging process for every Order, unless expressly exempted by Unew.
The recording should begin before the Product is placed inside the packaging and continue without interruption until the package is completely sealed.
Where reasonably applicable, the video should clearly show:
The video must be sufficiently clear to allow identification of the Product and the package.
The Seller shall retain the original recording for a minimum period specified by Unew's Marketplace Standards Manual and provide it to Unew upon request during any investigation or dispute.
Uploading or editing the recording in a manner that conceals relevant information may be treated as a policy violation.
Unew may rely on a combination of evidence to determine the outcome of a dispute, including:
No single piece of evidence is guaranteed to determine the outcome of a dispute. Unew will assess the available evidence as a whole and make a decision in accordance with its policies and applicable law.
Where supported by the shipping process, Sellers are encouraged to retain proof that the packaged shipment was handed over to the courier.
Proof may include:
Sellers shall ensure that shipping labels are:
Sellers shall not intentionally alter, remove, or replace shipping labels after the package has been sealed.
Sellers shall comply with all shipping requirements communicated by Unew, including restrictions relating to prohibited items, hazardous materials, lithium batteries, or other regulated Products.
Sellers are responsible for ensuring that shipments comply with applicable transportation laws and courier requirements.
Sellers shall communicate with Buyers in a professional, courteous, and timely manner.
Sellers shall not:
All transaction-related communications should, where reasonably possible, take place through Unew's messaging system.
A Seller shall not attempt to avoid Platform fees or Buyer Protection by directing Buyers to complete transactions outside Unew.
Examples include:
Violation of this clause may result in suspension, withholding of payouts, termination of the Seller Account, or other enforcement measures.
The Seller shall ensure that Orders are dispatched using the shipping method selected or approved through the Platform.
The Seller remains responsible for cooperating with Unew and the logistics partner in resolving delivery issues, including lost shipments, failed deliveries, or incorrect addresses, to the extent those issues are within the Seller's control.
Unew administers a Marketplace Protection Programme designed to promote trust and fairness within the Platform.
The Marketplace Protection Programme seeks to protect honest Buyers and Sellers by resolving eligible disputes through an impartial, evidence-based process.
Participation in the Programme does not guarantee a refund, replacement, compensation, or any particular outcome.
Each matter is assessed individually based on the available evidence, applicable policies, and the specific facts of the transaction.
Unew is a marketplace for pre-owned and other eligible Products. Unless otherwise required by applicable law or expressly stated by Unew, Products purchased through the Platform are not eligible for return or refund solely because:
Buyers are expected to review Listings carefully before placing an Order.
A Buyer may be eligible to submit a Marketplace Protection claim where the Buyer reasonably believes that:
Each claim shall be assessed individually.
Where a Marketplace Protection claim is initiated, the Seller shall cooperate with Unew by:
Failure to cooperate may be considered during the investigation.
Sellers are required to retain the mandatory packaging video in accordance with the Marketplace Standards Manual.
The packaging video should accurately record the packaging process without material editing or interruption.
Where requested by Unew during an investigation, the Seller shall provide the original recording within the timeframe specified by Unew.
Failure to provide the requested recording, without a reasonable explanation, may affect Unew's assessment of the dispute. However, Unew may also consider other available evidence before reaching a decision.
Where a Buyer alleges that:
the Buyer is expected to provide reasonable supporting evidence.
For claims relating to the condition or contents of a delivered package, Buyers are strongly encouraged to record a continuous, uninterrupted unboxing video beginning before the package is opened and continuing until the contents are fully removed and inspected.
Where such a recording would reasonably be expected but is not available, Unew may consider the absence of that evidence when assessing the claim, together with all other available evidence.
Upon receiving an eligible claim, Unew may:
Unew will determine the outcome of a dispute based on the balance of probabilities after considering the available evidence.
Following its investigation, Unew may determine that:
The nature of the remedy shall depend on the facts of the particular case and applicable law.
Where Unew determines that a Product should be returned, the Buyer shall comply with the return instructions communicated through the Platform.
Returned Products should be packaged with reasonable care to minimise the risk of damage during transit.
Failure to comply with reasonable return instructions may affect the Buyer's eligibility for relief.
Subject to these Seller Terms, applicable policies, and successful completion of the transaction, Unew will initiate payout of the Seller's proceeds after deducting applicable commissions, fees, taxes, refunds, chargebacks, and other authorised deductions.
Unew may establish payout schedules and minimum payout thresholds from time to time.
Unew may temporarily withhold or delay Seller payouts where reasonably necessary, including where:
Any hold shall be limited to the extent reasonably necessary to investigate or resolve the relevant issue.
Sellers are solely responsible for determining, collecting, reporting, and remitting any taxes applicable to their business operations, except where Unew is legally required to collect or deduct taxes on behalf of Sellers.
Sellers represent that all tax information provided to Unew is accurate and complete.
Unew monitors Seller performance to maintain marketplace quality.
Performance may be assessed using factors including:
Performance assessments may be used to determine eligibility for certain marketplace features, promotional opportunities, or enforcement actions.
Where a Seller's performance falls below Unew's expected standards, Unew may require the Seller to undertake corrective measures, including:
Where deficiencies persist, Unew may take additional action under these Seller Terms.
Sellers shall maintain records reasonably necessary to support transactions conducted through the Platform, including, where applicable:
Records should be retained for the period specified in the Marketplace Standards Manual or as otherwise required by applicable law.
Sellers shall act honestly and in good faith when using the Platform.
Without limitation, Sellers shall not:
Good-faith cooperation assists Unew in maintaining a fair and trusted marketplace.
Maintaining the integrity of the Unew Platform is a shared responsibility.
Sellers shall conduct their business honestly, professionally, and in compliance with these Seller Terms, the Marketplace Standards Manual, applicable laws, and all other Unew policies.
Any conduct that undermines the safety, fairness, security, or reputation of the Platform may result in enforcement action.
Without limitation, Sellers shall not:

Sellers shall not list, advertise, or sell Products that:
Where Unew reasonably suspects that a Product may fall within this section, Unew may remove the Listing, request proof of authenticity or ownership, suspend the transaction, or take other appropriate action.
Where required by law, Unew may cooperate with law enforcement agencies or regulatory authorities.
Sellers represent and warrant that they possess all rights necessary to use the photographs, descriptions, trademarks, logos, and other content included in their Listings.
Sellers shall not upload content that infringes the copyright, trademark, patent, design, trade secret, publicity, privacy, or other proprietary rights of any third party.
Upon receiving a valid complaint or otherwise becoming aware of a potential infringement, Unew may remove or disable access to the relevant Listing while the matter is reviewed.
Repeated intellectual property violations may result in enhanced enforcement action.
To promote consistent and proportionate enforcement, Unew may take one or more of the following actions where it reasonably believes that a Seller has breached these Seller Terms, the Marketplace Standards Manual, applicable policies, or applicable law.
For minor or first-time non-material violations, Unew may issue guidance or an advisory notice requesting corrective action.
For repeated minor violations or a material breach capable of correction, Unew may issue a formal warning requiring compliance within a specified period.
Unew may impose operational restrictions, including:
Where reasonably necessary, Unew may temporarily suspend a Seller Account pending investigation or corrective action.
During suspension, the Seller may be unable to access some or all Seller Services.
Unew may permanently terminate a Seller Account for serious or repeated violations, including fraud, sale of counterfeit goods, sale of stolen property, repeated policy abuse, or other material breaches that undermine marketplace trust or safety.
Nothing in this framework limits Unew's right to take immediate action where required to protect Users, comply with legal obligations, or prevent significant harm.
Notwithstanding the progressive enforcement framework, Unew may immediately suspend Listings, restrict account access, place holds on payouts where permitted under these Seller Terms, or terminate a Seller Account where Unew reasonably believes that:
Where appropriate, Unew will notify the Seller of the action taken and the general basis for such action.
Unew may remove, suspend, or modify any Listing where it reasonably believes that:
Removal of a Listing does not necessarily constitute a finding of wrongdoing and may occur while further review is undertaken.
Unew may investigate suspected violations of these Seller Terms or other applicable policies.
During an investigation, Unew may request reasonable information or documentation from the Seller, including:
Sellers are expected to cooperate in good faith.
Failure to provide reasonably requested information may affect Unew's ability to assess the matter and may be taken into account when determining the outcome.
Where a Seller believes that an enforcement action has been taken in error, the Seller may submit an appeal through the process specified by Unew.
An appeal should include:
Appeals should be submitted within the timeframe communicated by Unew.
Late appeals may be considered at Unew's discretion where the Seller demonstrates reasonable cause for the delay.
Appeals shall be reviewed by Unew or its authorised representatives.
The appeal reviewer may:
Where practicable, appeals should be reviewed by personnel who were not the primary decision-makers in the original enforcement action.
The outcome of the appeal shall be communicated to the Seller through the Platform or another designated communication channel.
Where a temporary suspension has been imposed, Unew may restore Seller privileges after determining that:
Reinstatement following a suspension does not prevent Unew from taking future enforcement action if additional violations occur.
Nothing in these Seller Terms limits Unew's ability to take reasonable action necessary to:
Enforcement actions shall be exercised in a manner that is proportionate to the circumstances, consistent with applicable law, and guided by the principles set out in the Marketplace Standards Manual.
The Seller agrees to indemnify, defend, and hold harmless Clean Bins Drive Private Limited, its affiliates, directors, officers, employees, agents, service providers, successors, and assigns from and against any claims, actions, proceedings, liabilities, losses, damages, costs, penalties, fines, expenses (including reasonable legal fees), or demands arising out of or relating to:
The obligations under this clause shall survive the termination of the Seller's Account.
To the fullest extent permitted by applicable law, Unew provides the Platform as an intermediary marketplace facilitating transactions between independent Buyers and Sellers.
Unew does not manufacture, own, inspect, repair, store, or guarantee the Products listed by Sellers unless expressly stated otherwise.
Accordingly, Unew shall not be liable for:
Nothing in these Seller Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
Subject to the foregoing and to the maximum extent permitted by law, Unew's aggregate liability arising out of or relating to these Seller Terms shall not exceed the total commissions, service fees, or other amounts actually received by Unew from the transaction giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the liability.
Except as expressly provided in these Seller Terms or required by applicable law, the Platform and all related services are provided on an "as is" and "as available" basis.
Unew does not warrant that:
Unew shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to:
Performance shall resume as soon as reasonably practicable after the relevant event ceases.
Where a Seller receives confidential information relating to Unew, another User, or any investigation, the Seller shall maintain the confidentiality of such information and shall not disclose it except:
This obligation survives termination of the Seller Account.
The Seller agrees that Unew may provide notices, policies, statements, confirmations, updates, and other communications electronically, including through:
Electronic communications shall satisfy any legal requirement that such communications be in writing, where permitted by applicable law.
Unew may amend these Seller Terms from time to time to reflect changes in:
Updated Seller Terms shall become effective upon publication or on the effective date specified by Unew.
Continued use of the Platform after the effective date constitutes acceptance of the revised Seller Terms.
Where required by applicable law, Unew will provide advance notice of material changes.
The Seller may not assign, transfer, delegate, or otherwise dispose of any rights or obligations under these Seller Terms without Unew's prior written consent.
Unew may assign or transfer its rights and obligations under these Seller Terms to any affiliate, successor, purchaser of its business, or as part of a merger, acquisition, restructuring, or other corporate transaction, subject to applicable law.
If any provision of these Seller Terms is determined by a court or other competent authority to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
The invalid provision shall, where possible, be interpreted or modified so as to achieve its intended commercial purpose while remaining legally enforceable.
Failure by Unew to exercise or enforce any right or provision of these Seller Terms shall not constitute a waiver of that right or provision.
Any waiver shall be effective only if made expressly in writing by an authorised representative of Unew.
A waiver of one breach shall not constitute a waiver of any subsequent breach.
The following provisions shall survive termination or closure of a Seller Account to the extent necessary to give them effect:
Nothing contained in these Seller Terms shall be construed as creating a partnership, joint venture, franchise, agency, employment, fiduciary, or representative relationship between Unew and the Seller.
The Seller acts as an independent business and is solely responsible for its commercial activities conducted through the Platform.
In the event of any dispute relating to these Seller Terms or the Seller's use of the Platform, the parties should first seek to resolve the matter through Unew's Resolution Centre.
Participation in the Resolution Centre does not prevent either party from pursuing any legal remedies available under applicable law.
Nothing in this clause limits any statutory rights that cannot lawfully be excluded or restricted.
These Seller Terms shall be governed by and construed in accordance with the laws of India.
Subject to applicable law, the courts having jurisdiction over the registered office of Clean Bins Drive Private Limited shall have exclusive jurisdiction to hear disputes arising out of or in connection with these Seller Terms.
Where consumer protection laws provide otherwise, nothing in these Seller Terms shall limit any mandatory rights available under such laws.
These Seller Terms, together with:
constitute the entire agreement between Unew and the Seller regarding the Seller's use of the Platform and supersede all prior discussions, representations, understandings, or agreements relating to the same subject matter.
Questions relating to these Seller Terms may be submitted through the contact channels published on the Platform.
Unew may designate different contact channels for legal notices, compliance matters, Marketplace Protection claims, or general support.
By registering as a Seller, listing Products, accepting Orders, or otherwise using the Seller Services, the Seller acknowledges that they have read, understood, and agree to be bound by these Seller Terms & Conditions, together with all policies and standards incorporated by reference.
End of Seller Terms & Conditions
